CMIForge SaaS terms, legal-use rules, license conditions, data handling commitments, and customer responsibilities.

CMIForge SaaS Terms, Legal Use, and License Agreement. By requesting, accessing, or using a CMIForge workspace, the customer agrees to these terms unless a separately signed agreement says otherwise.

Scope

These Terms & Conditions govern use of the CMIForge software service, including the hosted application, databases, storage, support, maintenance, product documentation, workflow tools, reporting tools, conflict-checking tools, time tools, and related administrative functions.

If the customer signs a separate written agreement with CMIForge, that signed agreement controls where it directly conflicts with these terms. Otherwise, these terms apply to customer workspace requests, trial use, paid use, demo use, support interactions, and ongoing platform access.

Authority To Accept

The person submitting a workspace request represents that they are authorized to request the workspace for the named customer, provide the customer information entered on the signup form, and accept these terms on the customer's behalf.

If the submitter is not authorized, they must not submit the request or use the service for that customer.

Limited SaaS License

Subject to these terms, CMIForge grants the customer a limited, non-exclusive, non-transferable, revocable right to access and use the hosted CMIForge service for the customer's internal business operations during the applicable trial, subscription, or authorized access period.

  • The customer receives access to the service, not ownership of CMIForge software, source code, infrastructure, product design, trademarks, or other platform intellectual property.
  • The customer may allow authorized users to access the workspace only for legitimate customer business purposes.
  • The customer must not copy, resell, sublicense, reverse engineer, scrape, benchmark for competitive purposes, or attempt to extract CMIForge source code, models, design assets, or non-public product logic.

Professional Compliance And Supervision

CMIForge can help organize workflows, conflicts checks, approvals, intake records, engagement-letter drafts, audit trails, and operational reminders, but the customer remains responsible for professional supervision and compliance.

  • The customer must configure users, permissions, workflows, retention practices, conflict-review procedures, and approval paths in a way that matches the customer's own legal, ethical, contractual, and professional-responsibility obligations.
  • The customer is responsible for reviewing generated documents, imported data, conflict results, AI-assisted summaries, workflow recommendations, and system-produced notices before relying on them or sending them outside the customer's organization.
  • CMIForge does not replace customer policies, legal judgment, conflict counsel, compliance review, client-consent processes, or required human supervision.

No Legal Advice Or Legal Determination

CMIForge is software. It does not provide legal advice, create an attorney-client relationship with any customer, make final conflicts determinations, approve legal work, determine privilege, or replace professional judgment.

Conflict results, match strength, risk labels, workflow statuses, time records, intake summaries, AI assist text, and reports are operational aids only. The customer remains responsible for human review, legal analysis, final decisions, and compliance with all applicable professional rules.

Customer Data

The customer retains ownership of its customer data, including intake submissions, client records, matter records, contact records, party records, attachments, search history, workflow history, time entries, audit history, notes, and user-entered content stored in CMIForge.

  • CMIForge processes customer data only to provide, secure, maintain, support, troubleshoot, administer, and improve the service.
  • Customer data is not treated as a product asset that CMIForge owns outright.
  • The customer is responsible for the legality, accuracy, authorization, classification, and retention requirements of the data it uploads or enters into the service.

Data Hosting Location

Subject to service availability and applicable subscription terms, the customer may request deployment of its CMIForge environment within a supported geographic hosting region.

CMIForge will use commercially reasonable efforts to store and process customer data within the selected region. The customer acknowledges that certain operational, support, backup, security, disaster-recovery, and service-management functions may involve limited cross-border access or processing as necessary to provide, secure, maintain, and support the service.

AI Assist And Automated Features

CMIForge may include AI-assisted or automated features, such as summaries, suggested classifications, match explanations, risk descriptions, search support, or productivity helpers. These features may be incomplete, inaccurate, or context-limited.

  • AI assist output must be reviewed by an authorized human before use in client service, legal analysis, conflicts clearance, filings, billing, or business decisions.
  • AI assist output is not legal advice and should not be treated as a final professional judgment.
  • CMIForge may log prompts, outputs, metadata, and usage signals as needed to operate, troubleshoot, secure, and improve the feature, subject to the customer data commitments in these terms and the applicable product configuration.
  • Unless a separate signed agreement or product setting says otherwise, customer data submitted to AI-assisted features should be used only to provide, secure, troubleshoot, and improve the customer's service experience, not sold or disclosed for third-party advertising.

No Sale Of Customer Data

CMIForge does not sell customer data. CMIForge does not rent customer data, trade customer data for marketing benefit, or disclose customer data to third parties for their independent advertising or profiling purposes.

Disclosures to hosting providers, storage providers, monitoring vendors, identity providers, email providers, support tools, backup tools, legal advisors, auditors, or other service providers acting on CMIForge's behalf are not considered a sale of customer data when used solely to operate, secure, support, or improve the service.

Security

CMIForge will use commercially reasonable administrative, technical, and organizational safeguards designed to protect customer data from unauthorized access, use, alteration, or disclosure.

  • Security measures may include authentication controls, role-based access controls, encryption in transit, environment separation, logging, monitoring, patching, backups, and access review practices.
  • CMIForge may monitor service health, performance, errors, usage, and security events for operational and protective purposes.
  • No hosted service can guarantee absolute security. The customer acknowledges that residual risk exists in all cloud-based systems.

Operational Access For Support And Maintenance

Authorized CMIForge personnel may access customer data when reasonably necessary to operate the service. That may include access for maintenance, troubleshooting, customer-requested support, migration work, bug diagnosis, performance tuning, backup verification, security investigation, abuse prevention, and legal compliance.

  • Access should be limited to personnel with a legitimate business need.
  • CMIForge should use reasonable efforts to limit the scope and duration of access to what is required for the operational task.
  • Where practical, support and maintenance activity should prefer metadata, logs, configuration inspection, or least-privileged access before deeper content review.

If the customer requests hands-on troubleshooting, migration assistance, or support investigation, the customer authorizes CMIForge to review relevant records, attachments, workflows, logs, configuration, and account details needed to address the request.

Cloud Providers And Subprocessors

CMIForge may use third-party infrastructure and service providers to deliver the platform, including hosting, database, storage, identity, email, telemetry, monitoring, backup, and support tooling providers. In the current product shape, this may include Azure-based infrastructure and related cloud services.

  • Such providers may process customer data only as needed to support the service.
  • CMIForge remains responsible for managing those providers in a manner consistent with its service obligations.
  • Cloud operators and service vendors may technically have the ability to access underlying systems or stored data as part of infrastructure administration, incident response, support, or lawful process.

Retention And Deletion

Customer data will generally remain in the service until deleted by the customer, deleted by authorized workflow within the product, exported and removed during termination, or removed according to retention, backup, legal, or security requirements.

  • Backups, logs, cached copies, archive rows, search indexes, and disaster-recovery replicas may persist for a limited period after live deletion.
  • CMIForge may retain limited operational records needed for billing history, security investigation, abuse prevention, legal obligations, product analytics, audit trails, or dispute resolution.
  • Upon service termination, the parties should follow the applicable agreement or written termination process for data export, deletion timing, archival handling, and transition assistance.

Confidentiality

CMIForge will treat non-public customer data as confidential information and will not disclose it except as required to provide the service, as authorized by the customer, as required by law, or as necessary to protect the service, its users, CMIForge, or the public.

The customer is responsible for deciding what information is appropriate to place into the platform and for configuring internal access rights within the service.

Acceptable Use

The customer may not use CMIForge in a manner that is unlawful, abusive, deceptive, infringing, harmful, or disruptive.

  • The customer must not attempt to bypass access controls, probe or attack the service, introduce malicious code, overload the service, or interfere with other customers.
  • The customer must not use the service to violate privacy, confidentiality, intellectual property, export control, anti-spam, security, or professional-responsibility obligations.
  • CMIForge may suspend or limit access where reasonably necessary to investigate security issues, prevent abuse, comply with legal obligations, protect the platform, or reduce risk to customers.

Availability, Maintenance, And Beta Features

CMIForge may perform maintenance, updates, migrations, security patches, feature releases, and operational changes that affect availability or behavior. CMIForge will use reasonable efforts to reduce unnecessary disruption.

Preview, beta, experimental, free, or demo features may change, break, be limited, or be removed without the same notice or support commitments as generally available paid features.

Fees, Plans, And Limits

Use of CMIForge may be subject to plan limits, subscription fees, usage limits, storage limits, user limits, feature limits, or other commercial terms communicated in the product, on the website, in an order form, or in a separate written agreement.

CMIForge may change packaging, pricing, limits, or included features over time. Material changes for active paid customers should be handled through reasonable notice, renewal terms, or customer communications.

Suspension And Termination

CMIForge may suspend or terminate access if the customer violates these terms, fails to pay applicable fees, creates security or legal risk, misuses the service, or uses the service in a way that may harm CMIForge, other customers, or third parties.

After termination, customer access may end and data may be deleted according to the applicable retention and termination process. Certain provisions, including confidentiality, ownership, payment obligations, disclaimers, liability limits, indemnity, and records of agreement acceptance, survive termination.

Disclaimers

Except for commitments expressly stated in a signed agreement, CMIForge is provided on an "as is" and "as available" basis. CMIForge does not warrant that the service will be uninterrupted, error-free, secure against all threats, compatible with every customer system, or suitable for every professional or legal requirement.

CMIForge disclaims implied warranties to the fullest extent allowed by law, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation Of Liability

To the fullest extent allowed by law, CMIForge will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, reputational harm, or substitute services, even if advised that such damages are possible.

Unless a signed agreement states otherwise, CMIForge's aggregate liability related to the service will be limited to the amounts paid by the customer for the service during the twelve months before the event giving rise to the claim, or one hundred dollars if no amounts were paid.

Customer Indemnity

The customer will defend and indemnify CMIForge from claims, damages, losses, liabilities, costs, and expenses arising from customer data, customer instructions, unauthorized or unlawful use of the service, violation of these terms, violation of law, or infringement of third-party rights by the customer or its users.

This does not require the customer to indemnify CMIForge for CMIForge's own gross negligence, willful misconduct, or obligations that cannot legally be shifted.

Changes To Terms

CMIForge may revise these terms as the product matures, cloud architecture changes, security controls evolve, laws change, or commercial packaging changes. Material changes should be communicated through the service, release communications, website updates, or contract-update channels.

Continued use of the service after updated terms become effective means the customer accepts the updated terms, unless a separate signed agreement provides a different update process.

Acceptance Record

When a workspace request is submitted, CMIForge may record the customer's acceptance of these terms, including the customer name, submitter name, submitter email, accepted agreement key, accepted agreement version, product version, acceptance timestamp, IP address, and browser user agent.
